This Agreement may be amended by us at any and from time to time without specific notice to you. The latest Agreement will be posted on the Web Portal, and you should review this Agreement at every time prior to using/subscribing to the Web Portal. At any stage, if you are dissatisfied with any portion of the Web Portal, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the Web Portal. 

2.       Copyright:

All the rights on the contents, full text, organization, graphics, design, button icons, title, characters, names, compilation, magnetic translation, digital conversion, interfaces and other matters related to the Web Portal belong to and are reserved by the Company and protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The reproduction, copying, redistribution, use or publication by anyone of any such matters or any part of the Web Portal, save and except and to the extent as allowed by us in writing, is strictly prohibited. You or anyone else do not acquire ownership rights to any content, document or other materials viewed through the Web Portal or by subscribing to any of our Online Products. "knowhowhub.com”, “knowhowhub” and others are either service marks or registered service marks of the Company. Other product and company names mentioned on the Web Portal may be trademarks of their respective owners.

4.       Limited Right to Use:

The Content on the Web Portal is for personal use only and not for commercial exploitation. The viewing, printing or downloading of any content, graphic, form or document from the Web Portal grants you only a limited, non-exclusive licence for use solely by you for your own personal use and not for republication, reproduction, distribution, assignment, sub-licence, sale, preparation of derivative works or other use. The Company reserves the right to terminate, discontinue, revoke or suspend the permission of access to the Web Portal at any time with prior notice or alter the content of this Web Portal and to amend these terms and conditions at any time without any prior notice. Continued use of this Web Portal after alteration of these terms and conditions shall be deemed to constitute acceptance of such alterations.

6.       Indemnification:

You agree to indemnify, defend and hold us and our partners, attorneys, staff, advertisers, product and service providers, and affiliates (collectively “Affiliated Parties”) harmless from any liability, loss, claim and expense, related to your violation of this Agreement or use of the Web Portal.

7.       Non-Transferable:

Your right to use the Web Portal is not transferable.  Any password or right given to you to obtain, use, download or copy any information or documents is not transferable.

8.       Disclaimer:

8.1   The Company has made all efforts to avoid errors and omissions and make the information available on this Web Portal accurate, complete and up-to-date. Each Online Product on our Web Portal Despite is developed by an expert or a team of experts on the subject. Despite this, errors or omissions may creep in. Any mistake, error or discrepancy noted may be brought to the notice of the Company which shall be appropriately taken care of. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. We are not a party to the transactions entered into between you and Merchants. You agree that use of such Merchants is at your sole risk and is without warranties of any kind by us, expressed, implied or otherwise including warranties of title, fitness for purpose, merchantability or non-infringement. Under no circumstances are we liable for any damages arising from the transactions between you and merchants or for any information appearing on merchant sites or any other site linked to our Web Portal.

11.    Third-Party Merchant Policies:

All rules, policies (including privacy policies) and operating procedures of Merchants will apply to you while on such sites. We are not responsible for information provided by you to Merchants. We and the Merchants are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.

12.    Payments:

You represent and warrant that if you are purchasing something from us or from Merchants or subscribing to our Online Product/s that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your credit card company, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes. We as a merchant shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any Transaction, on Account of the Cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank from time to time.

15.     Miscellaneous:

This Agreement shall be treated as though it were executed and performed in Mumbai, Maharashtra, India, and shall be governed by and construed in accordance with the laws of the State of Maharashtra, India (without regard to conflict of law principles). Any cause of action by you with respect to the Web Portal (and/or any information, products or services related thereto) must be instituted within six (6) months after the cause of action arose or be forever waived and barred. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against either party. All legal proceedings arising out of or in connection with this Agreement shall be brought solely in Mumbai, Maharashtra, India. You expressly submit to the exclusive jurisdiction of said courts and consent to extra-territorial service of process. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Web Portal is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.
